1. Introduction and Acceptance
1.1 These Terms
These Oskeen Associate Platform Terms of Service ("Terms") govern your right to access and use the Oskeen Associate platform, including associate accounts, profiles, opportunity channels, AI-supported workspaces, content features, market intelligence, professional resources, communications, and related services made available by Oskeen, LLC
1.2 Agreement to the Terms
Please read these Terms carefully. By accessing or using the Associate Platform, creating or maintaining an associate account, or continuing to participate after these Terms are made available to you, you agree to be bound by these Terms. If you do not agree, you may not access or use the Associate Platform.
1.3 Contracting party
These Terms form a binding agreement between Oskeen, LLC ("Oskeen," "we," "us," or "our") and each individual or entity that accesses or uses the Associate Platform ("Associate," "you," or "your").
1.4 Authority to act for an entity
If you accept these Terms on behalf of an organization, company, consultancy, or other legal entity, you represent that you have authority to bind that entity. In that case, references to you include that entity and any authorized user acting through its account.
1.5 Additional terms and policies
The Oskeen Associate Commercial Terms and Professional Standards, any applicable privacy policy, platform instructions, opportunity notices, and project-specific statements of work or collaboration memos are incorporated into these Terms when they apply. If a project-specific written document conflicts with these Terms, that document controls only for the specific project and only to the extent of the conflict.
1.6 Electronic acceptance and records
Oskeen, LLC may record and rely on electronic acceptance, account activity, platform access, version history, email notices, IP address, user agent, timestamp, and other reasonable records showing that these Terms or any incorporated terms were presented, accepted, updated, or applied.
1.7 Legal capacity
You may use the Associate Platform only if you have legal capacity to enter into binding obligations and are not prohibited from using the Associate Platform under applicable law or contractual obligations owed to another party.
2. Definitions

| Associate Services | Professional, advisory, consulting, implementation, content, analysis, review, or other services that an Associate offers, negotiates, or performs for a client, Oskeen, LLC, another Associate, or another third party. |
| Senior Associate | An invitation-only Associate recognized for significant expertise, professional judgment, sector leadership, and ability to contribute to the quality of the ecosystem. |
| Client | An organization, donor, public-interest institution, partner, or other third party that may request, purchase, receive, or benefit from Associate Services or Oskeen, LLC services. |
| Platform-Originated Opportunity | An opportunity generated, introduced, published, matched, or facilitated by Oskeen, LLC, the platform, or Oskeen, LLC personnel. |
| Associate-Originated Opportunity | An opportunity independently identified, sourced, or developed by an Associate outside the Oskeen ecosystem and without use of Oskeen, LLC introductions, platform signals, or opportunity channels. |
| Joint Opportunity | An opportunity where Oskeen, LLC and one or more Associates materially contribute to project development, proposal preparation, client acquisition, delivery, or account management. |
| Confidential Information | Non-public client, donor, financial, operational, technical, business, opportunity, platform, methodology, workflow, or professional information received through participation in the ecosystem. |
| Data Processing Addendum | A supplemental agreement or terms governing personal data, confidential client data, security, subprocessors, retention, transfer, and related data protection duties for a specific client, project, workspace, or platform feature. |
3. The Associate Platform
3.1 What Oskeen provides
Oskeen, LLC makes the Associate Platform available as a professional environment where approved Associates may present their expertise, access resources, evaluate opportunities, use workspace tools, engage with content and intelligence features, and collaborate with Oskeen, LLC, clients, or other professionals.
3.2 Associate Services
Associates, not Oskeen, LLC, are responsible for the Associate Services they offer, negotiate, or perform, unless a separate written agreement expressly states that Oskeen, LLC is responsible for a specific engagement. Making the Associate Platform available does not make Oskeen, LLC the provider of an Associate's professional services.
3.3 No employment or agency
Use of the Associate Platform does not create an employment, worker, agency, partnership, joint venture, fiduciary, franchise, or representative relationship between Oskeen, LLC and any Associate. Associates may not bind Oskeen, LLC, make commitments on its behalf, or represent that they have authority to act for Oskeen, LLC unless Oskeen, LLC has expressly authorized that authority in writing.
3.4 No direction or control
Except for platform rules, eligibility requirements, professional standards, and any project-specific obligations accepted in writing, Oskeen, LLC does not direct or control the manner, means, schedule, location, staffing, pricing, professional judgment, or client-service decisions of an Associate.
3.5 Independent business activity
Associates remain free to maintain their own clients, operate an independent practice, collaborate with other organizations, and pursue opportunities outside the Oskeen ecosystem, subject to confidentiality, non-circumvention, referral, and project-specific obligations they have accepted.
3.6 Professional and legal responsibilities
The Associate is responsible for professional licenses, certifications, insurance, registrations, taxes, statutory obligations, business expenses, invoicing, and compliance with applicable laws, professional standards, donor requirements, and client requirements.
3.7 Client terms and data addenda
If a client uploads files, provides confidential information, pays for project work, runs forecasting or AI-supported workflows, or contracts for Associate Services through the Associate Platform, Oskeen, LLC may require a client agreement, statement of work, Data Processing Addendum, confidentiality addendum, or other project-specific terms before the work proceeds.
4. Associate Status and Platform Participation
4.1 Eligibility
Associate status is granted at Oskeen, LLC's discretion and may depend on qualifications, professional experience, reputation, sector expertise, client fit, quality history, compliance with platform standards, and the needs of the ecosystem.
4.2 Associate categories
Oskeen, LLC may establish, modify, pause, or discontinue Associate categories, including Senior Associate and standard Associate categories. Access levels, benefits, fees, visibility, and opportunity eligibility may vary by category.
4.3 Platform access
Associates may receive access to professional profiles, opportunity notifications, AI-supported workspaces, templates, methodologies, resource libraries, collaboration spaces, training resources, social or content features, market intelligence, and other services made available by Oskeen, LLC. Access is limited, revocable, non-transferable, and conditioned on compliance with these Terms.
4.4 No guarantee
Oskeen, LLC actively develops NGO relationships, identifies relevant needs, and facilitates introductions and collaboration to help enable work opportunities for Senior Associates. Participation does not entitle an Associate to an assignment. Oskeen, LLC does not guarantee any particular opportunity, client engagement, level of visibility, revenue, funding award, grant approval, referral, collaboration, platform performance, or business outcome.
5. Opportunities and Client Engagements
5.1 Opportunity channels
Opportunities may arise through client introductions, opportunity matching, platform-generated leads, website inquiries, published opportunities, direct referrals, content visibility, social activity, intelligence signals, or collaborative project arrangements.
5.2 Project-specific documentation
Client work may require a statement of work, project collaboration memo, proposal, engagement letter, subcontract, revenue-sharing arrangement, or other project-specific document. Each project-specific document should define the parties, scope, deliverables, compensation, timing, confidentiality requirements, client relationship, payment flow, and quality review expectations.
5.3 Responsibility for work
Unless otherwise agreed in writing, each party remains responsible for its own work, communications, representations, deliverables, professional judgment, and obligations to clients or third parties.
5.4 Commercial rules
Referral fees, referral rewards, platform credits, additional project slots, workspace credits, attribution rules, reporting duties, audit rights, and non-circumvention obligations are governed by the incorporated Commercial Terms and Professional Standards.
6. Professional Representation
6.1 Accurate profiles and credentials
The Associate must provide accurate information regarding qualifications, experience, credentials, services, availability, languages, geography, work history, and sector expertise. The Associate must promptly correct information that becomes inaccurate or misleading.
6.2 Use of Oskeen status
Associates may describe their relationship with Oskeen, LLC only in the manner authorized by Oskeen, LLC and applicable schedules. Associates may not imply employment, ownership, governance rights, exclusive representation, or authority to act for Oskeen, LLC.
6.3 Professional conduct
The Associate must act professionally, ethically, and respectfully in interactions with Oskeen, LLC, clients, donors, partners, other Associates, and platform users.
7. Confidentiality and Data Protection
7.1 Confidentiality obligation
The Associate must protect Confidential Information and may use it only for authorized professional purposes connected with platform participation, opportunity evaluation, or agreed client work.
7.2 Restricted disclosure
The Associate may not disclose Confidential Information without authorization, except where required by law or valid legal process, and must provide prompt notice to Oskeen, LLC where legally permitted.
7.3 Security practices
The Associate must use reasonable administrative, technical, and organizational safeguards appropriate to the sensitivity of the information handled, including secure storage, controlled access, and careful handling of client, donor, proposal, financial, and platform materials.
7.4 Survival
Confidentiality obligations survive termination of these Terms for as long as the information remains confidential or for the period required by applicable law or project-specific agreement.
7.5 Personal data and privacy
Personal data processed through the Associate Platform is handled in accordance with the applicable Privacy Notice and any project-specific Data Processing Addendum. Associates must process personal data only for authorized professional purposes, protect it with reasonable safeguards, and comply with applicable privacy, confidentiality, donor, client, and data protection requirements.
8. Intellectual Property and Platform Materials
8.1 Pre-existing materials
Each party retains ownership of its pre-existing intellectual property, know-how, methodologies, templates, tools, content, professional materials, and business materials.
8.2 Platform materials
Oskeen, LLC retains ownership of platform resources, workflows, methodologies, templates, tools, AI systems, software, training resources, content structures, business processes, and materials developed or commissioned by Oskeen, LLC, except where a written agreement provides otherwise.
8.3 Limited license
During active participation, Oskeen, LLC grants the Associate a limited, revocable, non-exclusive, non-transferable license to use authorized platform materials solely for permitted professional purposes.
8.4 Joint and project materials
Jointly developed materials, client deliverables, white-labeled materials, or reusable methodologies created during a project should be governed by the applicable statement of work, collaboration memo, or written intellectual property arrangement.
9. Use of Platform Resources
9.1 Permitted use
The Associate may use platform resources only for authorized professional purposes and in accordance with these Terms, applicable schedules, project-specific documents, and platform instructions.
9.2 Prohibited use
The Associate may not share login credentials, resell access, scrape or bulk extract platform content, reverse engineer platform systems, interfere with platform operations, upload unlawful or unauthorized content, misrepresent affiliation, or copy, publish, or redistribute proprietary materials without authorization.
9.3 AI-supported tools
AI-supported tools may assist with drafting, review, retrieval, analysis, organization, and workflow support, but the Associate remains responsible for verification, professional judgment, quality control, client suitability, and final outputs.
9.4 Restricted inputs and AI processing controls
Associates must not submit sensitive, confidential, regulated, beneficiary, child-protection, medical, field-security, donor-restricted, export-controlled, or legally restricted information into AI-supported tools unless the use is authorized, appropriate safeguards are in place, and the relevant client, donor, platform, vendor, and legal requirements permit that processing.
10. Fees, Payments, and Taxes
10.1 Applicable fees
Senior Associates admitted under the invitation join free and will never pay an annual membership fee. Starting paid or funded work does not trigger a subscription or membership charge. These Senior Associate membership protections prevail over conflicting membership charges in incorporated commercial terms, platform notices, or project-specific arrangements.

Standard Associate plan fees, referral fees, referral rewards, and other project-specific commercial obligations remain governed by the incorporated Commercial Terms and Professional Standards or a written project-specific arrangement, subject to the Senior Associate membership protections above.
10.2 Taxes
The Associate is responsible for taxes, reporting, registrations, invoices, deductions, and statutory obligations associated with amounts paid to or received by the Associate.
10.3 No payment collection obligation
Unless otherwise agreed in writing, Oskeen, LLC is not responsible for collecting payment on behalf of the Associate or guaranteeing payment by any client.
11. Suspension and Termination
11.1 Termination by either party
Either party may terminate participation by written notice. The Associate may stop participating in the platform at any time, subject to payment obligations, client commitments, confidentiality duties, and surviving obligations.
11.2 Suspension or immediate termination
Oskeen, LLC may suspend access, restrict opportunity eligibility, remove content, withdraw Associate status, or terminate participation immediately for fraud, misrepresentation, professional misconduct, breach of confidentiality, non-payment, non-circumvention violations, repeated client complaints, security concerns, unlawful activity, or material breach of these Terms.
11.3 Effect of termination
Upon termination, the Associate must stop using restricted platform resources, return or delete Confidential Information where required, and complete any transition obligations reasonably necessary for active client matters.
11.4 Survival
Clauses concerning confidentiality, intellectual property, payment obligations, referral obligations, non-circumvention, limitation of liability, dispute resolution, governing law, and any clause that by nature should survive termination will survive.
12. Disclaimers and Limitation of Liability
12.1 Platform and opportunity disclaimer
The platform and related services are provided as professional infrastructure and opportunity support. Oskeen, LLC does not guarantee uninterrupted service, error-free functionality, specific clients, specific revenue, funding outcomes, grant approvals, or business results.
12.2 Limitation
To the maximum extent permitted by law, Oskeen, LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost business opportunities arising from or related to platform participation.
12.3 Professional discretion
The Associate participates in the ecosystem and accepts opportunities at the Associate's own professional discretion and remains responsible for determining whether any opportunity, client relationship, deliverable, or use of platform resources is appropriate.
13. Amendments, Notices, and Governing Law
13.1 Updates
Oskeen, LLC may update these Terms or the incorporated schedules by posting an updated version, making the updated version available through the platform, sending notice by email, or using another reasonable notice method. Material changes to fees, referral obligations, dispute terms, privacy practices, AI or data use, or Associate status may require affirmative acceptance or continued platform participation after notice. If you do not agree to updated terms, you must stop using the Associate Platform.
13.2 Notices
Notices may be provided by email, platform notice, account message, or other reasonable written method using the contact information associated with the Associate account or relationship.
13.3 Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where mandatory law requires a different result.
13.4 Informal resolution and mediation
Before initiating formal legal proceedings, the parties will attempt in good faith to resolve any dispute arising out of or relating to these Terms through written notice and informal discussion. The notice should describe the dispute, the relevant facts, and the relief requested. Unless urgent action is reasonably necessary, the parties will allow 30 days after receipt of notice to attempt informal resolution. If the dispute is not resolved through informal discussion, the parties may agree to participate in mediation, including remote mediation, before a mutually acceptable mediator. Mediation is not required where urgent or protective relief is reasonably necessary, where mediation is unavailable or impractical, or where mandatory law provides otherwise.
13.5 Legal proceedings
If a dispute is not resolved through informal discussion or agreed mediation, either party may pursue available legal remedies in a court of competent jurisdiction. Subject to mandatory law and unless a project-specific agreement provides otherwise, the state and federal courts located in Florida are an appropriate forum for disputes involving Oskeen, LLC, and each party consents to personal jurisdiction in those courts to the extent permitted by law.
13.6 Equitable relief
Nothing in these Terms prevents Oskeen, LLC from seeking injunctive or equitable relief to protect Confidential Information, intellectual property, platform integrity, non-circumvention rights, security, payment rights, or client trust.
13.7 Entire agreement
These Terms, incorporated documents, and applicable project-specific documents are the entire understanding between you and Oskeen, LLC regarding Associate platform participation and replace prior associate policy drafts or understandings on that subject.
